At Edwin Coe, our Corporate lawyers have considerable experience in assisting businesses establishing structures for sharing risk, resources and profits, both domestically and internationally.
Drawing on our expertise in specialist sectors, such as natural resources and technology, we are able to advise on a range of structures suitable for cooperation between businesses. Our goal is to facilitate the business structure required by our clients whilst at the same time ensuring that they are properly protected.
We have advised on a wide range of joint ventures, including those based on contract, company structures, partnerships and multiparty arrangements which enable the introduction of other partners at a later date.
We are able to call on other specialist sectors of the firm to assist in preparing the joint venture structure which will typically involve input from our intellectual property group, and our real estate and banking groups.
Examples of work which we have undertaken in this area include:
- Acting for Stratex International plc on its international joint venture with Thani Emirates Resource Holdings to pool resources in East and North African mineral exploration and development
- Advising Stratex International plc on its formation of a joint venture with Centerra Gold in relation to assets in Turkey and subsequent unwinding of joint venture by way of disposal
- Acting for Lydian International Limited in relation to a joint venture with Newmont Overseas Exploration Limited concerning exploration, development and mining of properties in the Caucuses and subsequently dealing with the unwinding of that joint venture by way of acquisition of Lydian’s interests
Edwin Coe LLP combines solid knowledge with a practical approach.
