Partnerships and LLPs
We regularly form and act in transactions involving partnerships whether trading partnerships, limited partnerships or limited liability partnerships. Partnerships carry benefits both in their legal flexibility and their tax status and are a common vehicle of choice for trading businesses as well as investment vehicles, whether funds or single purpose investments.
Examples of work which we have undertaken in this area include:
- Harris Balcombe LLP – A merger of two leading loss assessor companies into an LLP to include advising on tax aspects, preparation of the partnership agreement and implementing the transaction.
- Hobart Capital Markets LLP – Conversion of a stockbroking company into an LLP providing for detailed terms for founder members and advising on FCA regulatory compliance.
- Waterman Income Fund – Forming an English limited partnership to be the fund vehicle operated by City & Merchant Limited to finance an Isle of Man and UK bridge lending business.
- Firm of solicitors – Drafting and implementing the partnership agreement for an English firm of solicitors converting into an LLP.
