Director, Shareholder and Partnership Disputes

Whatever the business structure, disputes arising between owners and officers can give rise to sensitive commercial as well as legal issues.
These range from protecting business secrets, managing relations with third parties (such as banks and B2B partners) and maintain profitable commercial operations.

Edwin Coe has successfully acted for shareholders, directors and partners in intra-business disputes, such as those relating to the limited and public companies and general and limited liability partnerships.

We draw on our allied specialists in employment, tax and insolvency law to bring these disputes to a resolution.

What we do best:
  • Shareholders

  • Securities Claims

Representing institutional and individual investors in litigation arising from misrepresentations to the market, misleading prospectuses, regulatory breaches, and securities fraud, whether under the Financial Services and Markets Act 2000 or common law.

  • Director’s Liability

Pursuing directors (or those who have assumed the powers of directors) for breaches of their duties, including fiduciary obligations and duties in negligence, to either the company or to particular shareholders.

  • Partnership Disputes

Acting for partners, whether in general or limited liability partnerships, including regarding the assets of the partnership on departure of one or more partners.

  • Derivative actions

Acting for particular shareholders who wish to pursue a claim on behalf of the company where the company’s directors refuse to take it forward.
