Edwin Coe advises on merger and fundraising to create a European cigar and whisky merchant
Edwin Coe is delighted to announce that it has advised the London-based founders and owners of C.Gars Limited on the successful merger of the business with La Casa Del Tabaco in Belgium to form a fully integrated cigar and whisky merchant known as Dominique London.
Both the Belgian and English businesses are market-leading premium cigar and whisky merchants, with physical stores and strong online operations selling worldwide. The businesses offer an unrivalled selection of Cuban and New World cigars with multiple profitable touchpoints into the growing luxury cigar market.
The merger involved the sale of C.Gars Limited to new Belgian parent company Dominique London NV, a reorganisation of the Belgian business and a fundraising led by a consortium of UHNWs and family offices across Europe and the Middle East.
Corporate Partner, Daniel Bellau led the Edwin Coe team, assisted by Nick Phillips (IP Partner). Dominique London was advised by Deloitte Legal and the investors were advised by Ashurst in England and Belgium and leading Belgian firm Eubelius.
Managing Director of C.Gars Ltd, Mitchell Orchant said “Thanks a million for all your help with this transaction, would never have got it over the line without all of your help.”
Daniel Bellau said “It was a pleasure to have helped this entrepreneurial business achieve a successful merger and fundraising. One of the strengths of Edwin Coe is the ability to call on a wide range of expertise from across the firm to seamlessly work on this complex transaction. I look forward to assisting the enlarged group to go on to achieve even greater success.”
