London, 18 June 2025 – Edwin Coe LLP is pleased to announce that it has advised our long-term client, VitalHub UK Limited on its successful acquisition of Induction Healthcare Group PLC. The deal was completed today following Court approval of a scheme of arrangement. The transaction was structured as an all-cash offer for the entire issued and to be issued, share capital of Induction. Induction’s shares were suspended from trading on AIM yesterday, with formal cancellation set for today (19 June 2025).

The transaction will allow VitalHub to expand the scale and reach of its portfolio, particularly in the UK; to unlock efficiencies across the Group; and to identify opportunities to leverage Induction’s products — such as Attend Anywhere and Zesty — to enhance the combined offering and enable cross-selling opportunities, including into other target markets.

The Edwin Coe team was led by Head of Corporate Russel Shear, working alongside Greg Horsford (Senior Associate) and Henry Wright (Associate).
