Group structures are not set in stone, and are often subject to reorganisations or restructurings. Reorganisations can take many forms, from relatively straight forward capital reductions to radical restructuring of a large group of companies. Such reorganisations can be prompted by a variety of reasons ranging from rationalisation of a group structure in preparation for a sale, simplification of a group by getting rid of redundant subsidiaries or incorporation of a new holding company.

At Edwin Coe, our corporate lawyers have in-depth experience on advising on the design and implementation of such structures and dealing with the complex issues, including in relation to declaration of dividends, directors’ duties and insolvency law implications that regularly arise when dealing with them. These restructurings can often also involve a significant cross-border element and we can either project manage the reorganisation by coordinating input from advisers in the different jurisdictions or focus on the UK aspects alone.

We are recognised for our partner-led approach in this area and have the experience required to handle large international reorganisations and to support all a client’s legal requirements in implementing such reorganisations.
